Steven Scholl focuses his practice on corporate/transactional work primarily representing a broad range of closely held and middle market businesses. He serves as outside general counsel to a diverse group of clients, including manufacturers, distributors, suppliers, dealers, financial institutions, hospitals, physicians and other healthcare entities, marketing, promotion, publishing and entertainment companies and professional practices.
Steve serves as outside general counsel on a wide range of transactional, sophisticated and complex commercial matters and issues, that include: serving as lead attorney of mergers, acquisitions and other dispositions of businesses and assets; restructurings and reorganizations; loan, debt, equity and capital financing and investment transactions (on behalf of buyers, sellers, borrowers, issuers and investors); private placements, strategic alliances and joint ventures; licensing transactions; real estate and leasing; ownership and succession entity planning; employment and employee incentive compensation plans; supply and distribution relations; reviewing, drafting and negotiating financing; equity, supplier, distributor, sales representative and other similar agreements and transactions (both domestically and internationally); as well as counseling, consulting, structuring and implementing business, tax, financial and equity strategies and plans; risk management, finance, marketing, employment, intellectual ownership and corporate matters; drafting and negotiating contracts, shareholder and operating agreements.
Represent numerous purchasers and sellers as lead counsel in connection with the disposition and acquisition of assets and equity, redemptions, joint ventures and strategic alliances. Provide representation with respect to clients’ general ongoing commercial transactions.
Provide strategic, business and tax advice including choice of entity, management and succession planning, which includes:
Provide general counsel for clients who provide marketing, promotion, advertising, creative design, publishing and entertainment-related services such as mobile marketing and promotion tours, concert tours, sponsorship programs and celebrity publications and websites. Structure, negotiate and draft tour sponsorship, artist marketing management, publication and distribution agreements. Manage intellectual property issues and implement general programs.
Provide counsel on a wide range of employment, human resource, hiring and employee separation issues. Structure executive compensation and incentive plans, options, phantom equity, bonus plans, employment and noncompetition agreements.
Represent financial institutions, companies seeking capital investment, and lenders/borrowers in financing and capital raising transactions, including structuring private placements.
Steve is a certified public accountant and he previously worked as a tax consultant with Arthur Andersen.
